Terms of Service
These Terms of Service govern access to and use of KM Execution System.
By visiting the website, creating an account, using a demo, starting a trial, subscribing to the Service, or accessing KM Execution System on behalf of an organization, you agree to these Terms.
If you use the Service on behalf of a company, organization, government entity, nonprofit, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.
If you do not agree to these Terms, do not use the Service.
1. Definitions
“KM Consulting,” “KM,” “we,” “us,” or “our” means the company operating KM Execution System.
“Service” means KM Execution System, including the website, web application, future mobile applications, dashboards, project tools, task tools, risk and issue tracking, reports, comments, templates, demo environments, support resources, and related services.
“Customer” means the company, organization, or individual that creates, owns, pays for, or controls a workspace, account, subscription, or written agreement with KM Consulting.
“User” means any person who accesses the Service, including workspace admins, invited users, demo users, and trial users.
“Customer Data” means information submitted to the Service by customers or users, including projects, tasks, risks, issues, reports, owners, managers, notes, comments, files, metadata, and related workspace content.
“Workspace” means a customer-controlled environment, organization, or account area within the Service.
2. Business Use
KM Execution System is intended for business, professional, organizational, and project management use.
The Service is not intended for children.
You may not use the Service if your use would violate applicable law or these Terms.
3. Account Registration and Security
You are responsible for providing accurate account information and keeping it current.
You are responsible for protecting your login credentials and for all activity that occurs under your account.
You must promptly notify KM Consulting at info@consultingkm.org if you believe your account or workspace has been compromised.
KM Consulting is not responsible for losses caused by weak passwords, shared credentials, unauthorized internal access, or failure to remove users who should no longer have access.
4. Workspace Responsibilities
Customers are responsible for managing their own workspaces.
Workspace admins are responsible for inviting users, removing users, assigning roles if available, reviewing access, and deciding what information is entered into the Service.
Customers are responsible for ensuring that their users comply with these Terms and related policies.
5. Customer Data Ownership
Customers retain ownership of Customer Data.
KM Consulting does not claim ownership of customer projects, tasks, risks, reports, comments, business records, or other workspace content.
Customers grant KM Consulting a limited right to host, process, transmit, display, back up, troubleshoot, and otherwise handle Customer Data as needed to provide, secure, maintain, support, and improve the Service.
6. Customer Responsibility for Data
Customers are responsible for the accuracy, legality, reliability, and appropriateness of Customer Data.
Customers are responsible for determining whether the Service is appropriate for the information they choose to enter.
Unless KM Consulting agrees in writing, customers should not use the Service to store highly sensitive or specially regulated information, including protected health information, payment card data, government classified information, export-controlled technical data, highly sensitive personal information, sensitive legal evidence, records requiring special chain-of-custody controls, or safety-critical approval records.
7. KM Intellectual Property
KM Consulting owns the Service, including its software, design, branding, workflows, templates, documentation, user interface, product structure, and related intellectual property.
You may not copy, resell, sublicense, reverse engineer, scrape, duplicate, reproduce, or commercially exploit the Service except as allowed by these Terms or a written agreement with KM Consulting.
8. Limited License
Subject to these Terms and payment of applicable fees, KM Consulting grants customers and authorized users a limited, non-exclusive, non-transferable, revocable right to use the Service for internal business purposes.
This license does not transfer ownership of the Service or any KM Consulting intellectual property.
9. Subscriptions, Billing, and Payment
Some parts of the Service may be free, available as a demo, offered through a trial, or available through a paid subscription.
Paid subscriptions must be paid according to the billing terms presented at signup, in an invoice, in an order form, or in a separate written agreement.
If payment is late, fails, is disputed, or cannot be processed, KM Consulting may suspend, limit, or terminate access to the Service.
KM Consulting may change prices, plans, packaging, or features in the future. For active paid customers, KM Consulting will make reasonable efforts to provide advance notice of material pricing changes.
10. Taxes
Fees do not include taxes unless clearly stated otherwise.
Customers are responsible for applicable taxes, duties, levies, or government charges related to their purchase or use of the Service, except taxes based on KM Consulting’s net income.
11. Demo and Trial Use
KM Consulting may provide demo or trial access.
Demo environments may include sample data, temporary data, limited functionality, seeded examples, or reset data.
Do not enter confidential, regulated, sensitive, or production business data into a public demo unless KM Consulting has specifically approved that use in writing.
KM Consulting may modify, reset, limit, suspend, or discontinue demo or trial access at any time.
12. Acceptable Use
You must use the Service responsibly and lawfully.
You may not use the Service to break laws, upload harmful code, attack systems, infringe rights, harass others, misuse accounts, scrape data, bypass security, or interfere with the Service.

13. Third-Party Services
KM Execution System relies on third-party service providers for certain infrastructure and operational functions, such as hosting, database services, authentication, email delivery, payments, analytics, logging, monitoring, and customer support.
KM Consulting is not responsible for third-party outages, service changes, errors, data processing issues, or security incidents caused by third-party providers.
KM Consulting will make reasonable efforts to use reputable providers and respond appropriately to known issues that affect the Service.
14. Service Availability
KM Consulting works to provide a reliable Service, but does not guarantee uninterrupted, error-free, or continuous availability.
The Service may be unavailable due to maintenance, updates, provider outages, security work, internet disruptions, customer-side issues, or events outside KM Consulting’s reasonable control.
Unless a separate written service-level agreement exists, KM Consulting does not provide a guaranteed uptime commitment.
15. Service Changes
KM Consulting may add, remove, update, rename, redesign, or modify features over time.
KM Consulting may make changes immediately when needed for security, legal, operational, product, or business reasons.
16. Support
KM Consulting may provide support by email, documentation, in-app guidance, consulting, onboarding, or other channels.
Support availability may depend on the customer’s plan, subscription, order form, or separate agreement.
17. Confidentiality
Customer Data may include confidential business information.
KM Consulting will use reasonable care to protect Customer Data and will not intentionally disclose it except as needed to provide the Service, support users, secure the Service, comply with law, enforce policies, respond to legal requests, or protect KM Consulting, customers, users, or third parties.
Customers are responsible for their own internal confidentiality obligations and for controlling who has access to their workspace.
18. No Guaranteed Business Outcomes
KM Execution System is a project and execution management tool.
The Service may help customers organize work, improve visibility, track ownership, monitor risks, and support better coordination.
KM Consulting does not guarantee project success, cost savings, revenue growth, compliance approval, stakeholder alignment, risk elimination, delivery timelines, budget performance, operational improvement, or any specific business outcome.
Customers remain responsible for business decisions, professional judgment, approvals, compliance obligations, and use of information from the Service.
19. Suspension and Termination
KM Consulting may suspend or terminate access if:
- payment is overdue
- account information is inaccurate
- the account creates legal, security, or operational risk
- the Service is abused
- these Terms or policies are violated
- continued access may harm KM Consulting, customers, users, or third parties
- suspension or termination is required by law or third-party provider action
Customers may stop using the Service at any time.
20. Data After Cancellation or Termination
After cancellation or termination, access to Customer Data may be limited, disabled, or removed.
Customers should export important data before cancellation when export tools are available.
KM Consulting may retain some data in backups, logs, billing records, security records, and archives for a limited period as required for legal, operational, security, or compliance purposes.
21. Indemnification
To the extent allowed by law, customers agree to defend, indemnify, and hold harmless KM Consulting from claims, damages, losses, liabilities, costs, and expenses arising from:
- Customer Data
- customer or user misuse of the Service
- violation of these Terms
- violation of law
- violation of third-party rights
- unauthorized use of the Service
- customer decisions or actions based on use of the Service
22. Disclaimers
The Service is provided “as is” and “as available.”
To the maximum extent allowed by law, KM Consulting disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, security, and error-free operation.
KM Consulting does not guarantee that the Service will meet every customer requirement, operate without interruption, prevent all data loss, prevent all unauthorized access, or be suitable for every regulated use case.
23. Limitation of Liability
To the maximum extent allowed by law, KM Consulting will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, business interruption, reputational harm, or loss of goodwill.
To the maximum extent allowed by law, KM Consulting’s total liability for any claim related to the Service will be limited to the fees paid for the affected Service under the applicable subscription, invoice, order form, or written agreement during the period giving rise to the claim.
If a separate written agreement between KM Consulting and the customer includes a different liability cap, that written agreement controls.
24. Governing Law
These Terms are governed by the laws of South Carolina, United States, unless a separate written agreement states otherwise.
25. Changes to These Terms
KM Consulting may update these Terms from time to time.
If material changes are made, KM Consulting will update the “Last updated” date and may notify active customers by email, in-app notice, or another reasonable method.
Continued use of the Service after updated Terms become effective means you accept the updated Terms.
